Total Beverage Solution Announces Acquisition of
Davies & Company – Importers of Premium New Zealand and Australian Wines

Total Beverage Solution announced today it has closed on acquiring substantially all assets of Davies & Company, a fine wine importer specializing in New Zealand and Australian brands and properties. Brands included in the transaction are Tohu Wines, Trinity Hill, and Two Paddocks from New Zealand, and Cockatoo Ridge, NXG, Checkered Cab, Allandale, and Limb Vineyards from Australia. In addition to acquiring the import rights to these brands, TBS has retained Davies & Co. founder and President Ian Davies to head its Fine Wine Business.

“This acquisition gives us much needed volume and brands that have a market presence in the wine category”, commented TBS President Dave Pardus. “Our portfolio will now have over 50,000 cases of annual wine sales, along with 350,000 cases of beer volume, and 10,000 cases of spirit volume”. Additionally, having Ian on board will boost our management and sales strength based on his success at developing his company’s portfolio.

Ian Davies added, “I am pleased to partner with TBS, as they had a need for wine brands that had market momentum, and I needed a partner that had the working capital support to enable my brands to continue their strong growth trends, so it is a good fit. ”

TBS has a growing portfolio of premium products in the beer, wine, and spirit categories of the Beverage Alcohol Industry. In addition to the brands secured in this transaction, TBS imports and markets brands to include: Old Speckled Hen, Shipyard Brewing, Weihenstephan Brewery, Signatory Vintage Whisky Company, Edradour Distillery, Kemblefield Estate Winery, and Magnotta Ice Wines.

Total Beverage Solution was founded in 2002, and its mission is to be a preferred beverage alcohol supplier for the US market. The company seeks brands that have market presence, but are not large enough to be targets of the big multinationals. TBS seeks to place those brands strategically with distributors market by market in the challenging beverage alcohol distribution system. Revenues for 2006 are anticipated to exceed $10,000,000.
